1. Introduction

Welcome to Frate App, a product of Tocce Technologies Limited ("Company," "we," "our," "us"). These Terms of Service ("Terms") govern your use of our web application located at frate.com.ng (the "Service"). Frate App is a platform designed to help organizations such as churches, clubs, and fraternities manage members, finances, and events.

By registering for or using the Service, you ("Organization," "you") agree to be bound by these Terms.

2. Eligibility and Account Registration

  1. You must be at least 18 years old to use the Service.
  2. You agree to provide accurate, current, and complete information during registration.
  3. You are responsible for safeguarding your account password and for all activities that occur under your account.

3. Services and Subscriptions

  1. Free Tier: We offer a free plan for organizations with up to 50 members.
  2. Paid Subscriptions: Access to features for larger organizations requires a paid subscription (Starter, Growth, or Enterprise plans).
  3. Payment: Fees are charged in Naira (₦). All payments are due upon invoicing or at the start of the subscription period.
  4. Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless canceled in writing before the renewal date.

4. Acceptable Use Policy

You agree not to misuse the Frate App Service. Specifically, you agree not to:

  1. Use the Service for any illegal purpose or in violation of Nigerian law.
  2. Attempt to hack, disrupt, or gain unauthorized access to our systems.
  3. Upload malicious code, viruses, or other harmful software.
  4. Use the Service to harass, abuse, or harm another person or group.

5. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy and Information Security Policy, which are incorporated into these Terms.

6. Intellectual Property

  1. Our IP: The Frate App software, design, logos, and content are owned by Tocce Technologies Limited and protected by copyright and trademark laws.
  2. Your Data: You retain full ownership of all data, member lists, and financial records you upload.

7. Cancellation and Termination

  1. By You: You may cancel your subscription at any time via your account dashboard.
  2. By Us: We may suspend or terminate your access immediately if you violate these Terms or fail to pay fees.
  3. Data Export: Upon termination, you have 30 days to request an export of Your Data.

8. Limitation of Liability

To the maximum extent permitted by Nigerian law, Tocce Technologies Limited shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

9. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE."

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Any dispute shall be resolved through arbitration in Lagos, Nigeria.

11. Changes to Terms

We may modify these Terms from time to time. Continued use of the Service constitutes acceptance.
